About Emily Carroll
Emily Mayne McMullin Carroll currently works for Apex Clean Energy. She leads the land legal team and the title team at Apex as Vice President - Real Estate Counsel. She and her team lead negotiations for real estate contracts, support all aspects of preparing land leases, easement agreements, asset purchase agreements, estoppel certificates and various other real estate documents to support the development of wind, solar and battery storage projects for Apex Clean Energy. She also provides legal guidance and support for all real estate aspects of credit agreements, equity contribution agreements and acquisition agreements for Apex. Prior to joining Apex Clean Energy, Emily spent over a decade in private practice working on a wide array of structured finance and real estate matters including acquisitions, affordable housing projects, commercial leases, low-income housing tax credit syndications, New Markets Tax Credit financings and new development projects. Her clients included large financial institutions, developers, owners, landlords, tenants and residential property management companies. She has experience drafting and reviewing complex operating agreements, leases, purchase and sale agreements, loan documents, and conveyance documents. She also coordinated due diligence reviews for M&A deals and real estate portfolio deals. Experience Includes- Lead real estate counsel for Apex Clean Energy on the Aviator Wind project in Texas (the then largest single-phase wind farm in the United States)- Lead real estate counsel for Apex Clean Energy on the Isabella Wind project in Michigan (the then largest single-phase wind farm in Michigan)- Served as lead real estate counsel for over 2.9GW of commercialized wind, solar and storage projects developed by Apex Clean Energy- As outside counsel, represented a financial institution with the restructuring of a $390 million mortgage loan as part of larger $1.3 billion development project- Represented a nationally recognized multifamily residential developer/owner in connection with its regional acquisitions (in the eastern and southern regions of the United States) for over a decade - Represented developers and CDEs in connection with numerous qualified low-income community investments under the New Markets Tax Credit Program- Structured and negotiated complicated JV agreements for tax credit equity investmentsAttorney Advertising
