I focus my practice on the representation of venture-backed emerging growth technology companies across the full-spectrum of their corporate activities, including formation, venture capital financings and other private placements, public offerings, 1934 Act reporting, acquisitions, and other general corporate matters. I also counsel funds on their investments in these emerging growth technology companies. My clients have included venture-backed companies primarily in the biotechnology, biopharmaceutical and medical devices sectors, as well as other technology-based companies. I have also represented venture capital funds, angel investors and registered investment companies that invest in these technology companies. I strive to bring a practical approach to corporate transactions, by identifying reasonable and cost-effective solutions to issues, while taking into account my client’s unique business needs and objectives. I try to value add by drawing upon my many years of experience working in the technology sector and the relationships developed during that time. I frequently coordinate and oversee the delivery of other legal services, including intellectual property, executive compensation, tax and litigation advice, to make certain that my clients receive the highest quality work product, full attention and responsiveness in all facets of their business.
