   Diane A. Thompson is an executive compensation, tax and employee benefits expert. Her clients include board of directors compensation and benefits committees and company legal, tax, finance, human resources and accounting professionals. She teams with outside compensation advisors and third party administrators in resolving problems related to annual and long-term bonus and incentive plans and equity compensation. She counsels on investor advisor and proxy disclosure issues: transaction due diligence and change of control payments; 401(k) and retirement plans; resolving IRS and DOL audits; tax and legal issues related to deferred compensation; fiduciary duty education and claims; vendor selection and contract negotiation; employment and separation agreements, and payroll tax issues.Diane was appointed by the US District Court as the receiver in a fraud and securities case involving an administrator of self-directed 401(k) plans and IRAs with account balances of $350 million primarily invested in unique non-cash assets including real estate, LLC interests, foreign currency and promissory notes. Over a four year period, she acted as the CEO, managing the ongoing court supervised operation of the business, identifying and transitioning to a successor, liquidating assets, and negotiating and settling legal and insurance claims. She successfully returned 92% of assets to victims.In a previous role as Corporate Senior Vice President of HR for AECOM (a global NYSE professional services company), Diane led a team of over 50 multi-national employees responsible for compensation, executive compensation including incentives and equity, international benefits, human resources information shared services, and global mobility.Diane is a former partner responsible for developing and leading the western region Tax, Compensation, and Benefits practice of Ernst & Young.(EY)
