   Represent private investment fund sponsors and investors in connection with the structuring, formation and operation of private investment funds. Provide advice on regulatory compliance matters, particularly those related to Investment Company Act exemptions and the Investment Advisers Act. On the GP side, assist fund sponsors in connection with forming all types of closed- and open-end, commingled and single investor, private investment funds. Asset class agnostic, but most experienced with private credit, buyout, real estate, fund-of-fund, co-investment, secondaries and GP-stake strategies. Also represent fund sponsors in a variety of related matters, such as entering into separate account relationships, seed and strategic investments, separations and spin-offs, GP led secondaries, forming co-investment and joint venture platforms, instituting Investment Advisers Act compliance programs and establishing employee co-investment and carry vehicles. On the LP side, represent institutional investors in connection with primary fund investments, secondaries (including traditional and GP-led secondaries, as both syndicate and anchor investors) and equity co-investments.
