As part of KPMG’s Deals Advisory practice, I advise private equity and corporate investors on acquisitions across the industrial and business services sectors, helping them navigate both the financial and contractual dimensions of M&A transactions.My work integrates detailed financial diligence with practical deal execution, bridging insights from analysis to documentation and negotiation.Key responsibilities and highlights:• Lead financial due diligence workstreams for cross-border acquisitions, focusing on earnings quality, working capital, and cash flow analysis.• Collaborate with investors, management teams, and advisors across the UK, Europe, and India to evaluate business performance and identify value drivers.• Contribute to the review of transaction documents, including Sale and Purchase Agreements (SPA), Shareholders’ Agreements (SHA), Conditions Precedent (CP) lists, and Representations & Warranties (R&W) indemnity clauses, ensuring alignment between diligence findings and contractual protections.• Translate financial insights into actionable recommendations that inform valuation adjustments, SPA mechanisms, and post-deal integration priorities.• Support senior leadership on proposals, recurring mandates, and portfolio-level insights for key private equity clients.This role continues to sharpen my perspective on how disciplined analysis, well-structured documentation, and commercial judgment together drive successful investments.
