As a seasoned Company Secretary and Compliance Officer, I have been instrumental in leading significant transformations within my organization. I am also involved in restructuring the Board and Share Capital and managing the sale of a significant business unit. My role has been diverse and dynamic, encompassing a broad range of functions from core secretarial responsibilities to more strategic roles, such as liaising and negotiating with a wide array of stakeholders including Merchant Bankers, Registered Valuers, Legal Advisors, and various government agencies. Among my key achievements, I steered the due diligence process, finalizing the Business Transfer Agreement for a sale to Excel Industries Limited, worth Rs. 850 million. I also led successful buyback programs of shares in financial years 2020-21 and 2019-20, managing transactions worth Rs. 251.70 million and Rs. 191.30 million respectively. I have a proven track record in legal compliance, including drafting and filing petitions for Company conversions and shifting of Registered Offices. Adding to this, I also played a pivotal role in the successful execution of the Company\'s Corporate Social Responsibility (CSR) policy, leading to CSR activities worth Rs. 5.9 million and Rs. 2.16 million in respective years. My role also entailed the successful name change of the Company, the drafting and execution of a tri-partite agreement for dematerializing shares and conducting Annual General Meetings. I efficiently handled due diligence for our proposed IPO, managed the entire secretarial matters of group companies, assisted in forming various committees, and maintained various statutory books and registers. I also consistently focused on cost optimization, identifying opportunities to reduce expenses associated with third-party intermediaries and license procurement. My commitment to continual improvement in training, policies, and processes has kept our compliance program relevant and effective.
