Trusted executive providing in-depth, broad-based management, counsel, and support at all levels and to all groups of a privately-held company primarily focused on multifamily, office, and industrial real estate in strategic growth markets. • Spearhead and significantly contribute to all strategic, legal, and hybrid operations internally and across unit portfolio, including approx.$1.7B of asset-related transactions (acquisitions, dispositions, refinances, recapitalizations) and management (vendor contracts, cap ex, dispute resolution/litigation management, master leasing, tenant management) of approx.$2B portfolio. • Identify, assess, escalate, and resolve potential and arising risks, conflicts, and disputes through pragmatic business-facing solutions, with particular consideration for safeguarding company clients, assets, and reputation. • Apply sound ethical judgment regarding personal behavior, conduct, and business practices. • Directly advise, negotiate, and draft all manner of real estate-related agreements and processes including transaction-related (e.g. NDA, broker agreement, access agreement, LOI, PSA, financing-related documents, and closing exhibits), entity/investment-related (e.g. operating agreement, PPM, subscription agreement, JVs, TIC agreement, secondary transactions, capital call notice/process, and side letter), asset management-related (e.g. PMA, leasing and transactional broker agreement, all forms of vendor agreements, easements and licenses, and architectural and construction management agreements), and HR-related (e.g. term sheet, employment documents NDA/NCA, and settlement/release). • Supervise, manage, and collaborate with outside counsel teams in different fields on all transactional, management, and litigation work; coordinate same with internal participants. Negotiate insurance settlements with and against base/excess insurers and claimants. • Successfully design and implement company-wide Document Management System.
