Responsible for all securities, corporate governance (with the Chief Legal Officer), and capital markets matters including corporate secretarial duties and oversee subsidiary management. Works closely with the Board of Directors and committees, senior management, and the Treasury and Tax teams. Provide legal advice and guidance for securities matters, including compliance with SEC, NYSE and TSX rules and regulations and legal support to Investor Relations, Corporate Finance, Tax, Treasury and Executive Compensation departments. Responsibilities- Serve as Assistant Corporate Secretary and support the CLO and Corporate Secretary in support of the Board of Directors and all related corporate governance activities, including drafting and presenting Board and committee materials, minuting meetings, charter, and policy management, and shareholder and proxy advisor firm outreach - Lead securities lawyer related to securities and stock exchange compliance including drafting and reviewing SEC filings, including registration statements, Forms 10-K, 10-Q, and 8-K (including earnings releases), proxy statements, and annual stockholder meeting matters (including shareholder proposals and proxy solicitations), Section 16 reporting and NYSE and TSX compliance- Provide counsel to senior management, boards of directors, and the committees of dual-listed publicly-traded company in connection with securities and corporate governance matters - Provide legal support to treasury team on all capital markets and debt activities including bond issuances and refinancings, tender offers, commercial paper, and revolving credit facilities- Provide legal support to tax and treasury departments regarding capital contributions, distributions, share purchases, and intercompany loans to and from direct and indirect, majority-owned subsidiaries for liquidity, capital financing, and tax and legal entity structuring purposes.
