Practice focus: I currently serve as general counsel and chief legal officer to a Houston-based private family office. Historically, my practice focuses on corporate, securities regulation, broker-dealer and investment adviser regulation and compliance, private fund structuring and formation, digital asset regulation, and (typically) energy and environmental asset-related M&A transactions. In my previous in-house roles, I have also been part of early AI-related investments.General Description: Corporate / securities lawyer with more than 20 years’ experience leading legal teams and advising clients on the formation, regulation, and operation of private investment vehicles, registered and unregistered investment advisers, broker-dealers, and other related legal matters. Additionally, I have led teams in the formation of multiple investment vehicles structured as series LLCs.Family Office: Extensive knowledge with the rules and regulations applicable to private family offices operating both in the U.S. and abroad. I am keenly aware of the restrictions (and opportunities) imposed on family offices seeking to engage in joint ventures or privately-funded business opportunities.Digital Assets: One of the early attorneys who advised on the regulation of digital assets, including so-called cryptocurrency, non-fungible tokens (\"NFTs\"), and other proposed applications utilizing smart contract and decentralized ledger technology (both in the context of securities and commodity regulation, and otherwise).Corporate Securities Experience: Regularly led teams advising on the formation and operation of, and compliance requirements applicable to, business entities (i.e, corporations, LLCs, series LLCs, partnerships, etc.), advised on the private placement offering of interests in business entities (i.e, via Reg D, Reg S, Reg A, or Blue Sky securities offerings), advised on business and M&A transactions, including asset and equity purchases. Investment Management: Led teams focused on,(1) the formation, operation, and compliance of domestic and offshore hedge funds, private equity funds, and venture capital funds,(2) advising registered and unregistered investment advisers on operational and compliance matters (including initial and continuing regulatory filings (e.g, Form ADVs) and compliance manuals), and (3) advising US and offshore broker-dealers, especially in the placement of alternative investment products and broker-dealer \"status\" matters (i.e,\"finder\" or M&A broker federal and Blue Sky rules and regulations).
