   I lead the Dallas office M&A Tax Practice. As a member of the Firm’s Mergers & Acquisitions Practice, I work extensively with financial and strategic buyers and sellers in the mergers and acquisitions community on transactions in a variety of industries.I have a wide range of experience, including due diligence reviews for both stock and asset acquisition transactions from both the buy and sell side perspectives, as well as transaction structuring experience. My experience includes assisting with post transaction integration and restructuring, advising regarding the availability and potential use of tax attributes, and evaluating the tax implications of debt refinancing and leveraged recapitalizations. My structuring experience includes evaluating the overall tax structure of an initial investment, tax efficient add-on investments and dispositions, conversions from corporate to flow-through status, and assisting with potential tax implications of various debt structures. Prior to beginning my work in the area of mergers and acquisitions, I served clients in the corporate tax practice ranging from Fortune 500 companies to closely held corporations in a variety of industries.
