My practice at Massumi + Consoli LLP focuses on advising private equity firms and their portfolio companies on executive compensation & benefits matters in connection with mergers & acquisitions and other complex corporate transactions, as well as in connection with their ongoing operational needs. I assist clients on the design and implementation of equity incentive programs (including profits interests, RSUs, stock options and restricted stock), deferred compensation programs and other long-term and short-term incentive programs, including tax-planning advice with respect to Code Sections 409A and 280G and securities law compliance. I also advise clients in the negotiation and drafting of executive and non-executive employment, severance, retention and change in control programs and agreements, as well as represent boards of directors and executive management teams on executive compensation matters that arise both in the ordinary course of business and with respect to extraordinary events, including leadership transitions. Additional prior experience in executive compensation and benefits for public company clients include proxy statement compensation disclosure and other securities law compliance matters, and Code Section 162(m) advice.
