CONTRACTS COUNSEL, MANAGEMENT, AND NEGOTIATION EXPERIENCE- Identify potential contractual liabilities and risks in contracts with customers, suppliers, partners and third parties, and produce innovative mitigation plans in order to minimize risks and enhance profitability- Provide recommendations and legal opinions to executive management pertaining to strategic and operational decision making- Engage in high-level contract negotiations with commercial customers as well as federal, state and local government agencies- Draft and review contracts involving financial services, private equity and hedge fund administration, proposals, purchases, sales transactions, equipment supply, teaming arrangements including joint venture and consortium agreements, non-disclosure agreements, software licenses, professional service agreements, change orders, distribution channels, subcontracts, performance based projects, insurance, and other varied matters- Engage, manage and supervise outside counsel required for specific legal/contractual issues- Ensure deployment of best business practices and processes of contract management and provide legal guidance and support across the project cycle including tender, mobilization, delivery, close out and dispute management- Provide training to other business units and functions.LITIGATION EXPERIENCE- Manage all aspects of insurance defense cases from inception through completion including client interviews, factual investigation, drafting pleadings, taking and defending depositions, motion practice, preparing clients for testimony at depositions and court proceedings, legal research, settlement negotiations, and representing clients in arbitration, magisterial district hearings and trial.
