Practicing mostly in the area of public finance, ERISA and tax law. I have worked as bond counsel, underwriter\'s counsel, issuer\'s counsel and borrower\'s counsel on general government bonds, education bonds, and economic development bonds. My public finance experience has also included representing a number of cities, hospitals, 501(c)(3)s and state entities obtaining public financing. I have also practiced in several different types of business transactions, including but not limited to forming all types of business entities and preparation and review of contracts and policies.I also have a a practice in Employee Benefits and ERISA law and have counseled tax-exempt organizations, governmental organizations and nongovernmental organizations on issues relating to pension plans, profit-sharing plans and employee stock ownership plans. I have provided advice on changes to be made to plans, merging of plans, terminating plans, fixing issues in plans that would otherwise cause plans to lose their qualification and preparing filings with the Internal Revenue Service relating to plan corrections.Additionally, my CPA background has allowed me to develop a niche for helping clients with audits being conducted by the Internal Revenue Service and the Iowa Department of Revenue on various matters relating to personal tax returns, partnership returns, corporate returns, sales tax, employment tax issues as well as audits relating to tax-exempt bond issues and employee benefit issues. It has been my experience that hiring an attorney during an audit will pay for itself with the savings in tax, penalties and interest that a taxpayer receives.
