A trusted legal advisor and strategic business partner to Boards of Directors, committees, and C-level executives, Courtney has 10+ years as General Counsel at private equity backed companies in the energy industry. Known for her ability to go beyond traditional legal advising to make an immediate impact on business strategy and tactical execution, she collaborates with stakeholders across corporate functions to set corporate goals and design risk mitigation strategies that protect the business while driving revenue growth. Before moving in-house, Courtney was an associate in Am Law 200 firms and other national and boutique firms, advising clients on complex corporate matters and acting as outside general counsel. She launched her in-house career as the first-ever in-house counsel at Gunnison Energy, and later joined Inflection Energy in 2016 as its first General Counsel & Corporate Secretary. Courtney designed and implemented the strategic vision for both Gunnison and Inflection’s corporate legal departments. She built and led high performing teams, set and efficiently managed legal budgets, and successfully established strong relationships with senior executives, business teams, and field operations.As Corporate Counsel-North America at Vantage Data Centers, Courtney counsels on energy and real estate matters.Courtney has been relied on by Boards and executives as a corporate generalist, delivering guidance on:• CORPORATE FINANCE & GOVERNANCE: Advises on credit facilities, asset purchases, NAESBs, ISDAs, and compliance with operating agreements; prepares and files corporate formation and management documents; and supports board and corporate restructuring.• REGULATORY COMPLIANCE: Supports risk management and corporate insurance programs (e.g, risk assessment, waivers, subrogation, indemnification); ensures compliance with KYC and Dodd Frank requirements; and contractual compliance. • COMMERCIAL CONTRACTS: Negotiates and drafts key agreements; streamlines and modernizes business-critical contract templates and contract management systems; and counsels on termination fees and contract disputes.• CROSS-FUNCTIONAL OPERATIONS: Partners with HR on development of workplace policies and compliance; operations on software licensing, data storage and retention, data security, cybersecurity, and other IT agreements and policies; manages intellectual property portfolios.
