Clay Talley is a special counsel in Cadwalader’s Finance practice. He has a diverse array of experience in finance gained from years in private practice, as an in-house counsel and, prior to becoming a lawyer, as a certified public accountant.Clay represents administrative agents, lead arrangers and lenders across subscription-based lending finance transactions, including NAV-based facilities, hybrid facilities, umbrella facilities and various other types of fund financing facilities. He assists in negotiating complex agreements, reviewing diligence documentation and various other items from the beginning life of the facility to termination. Many of these transactions include foreign jurisdictions and are multi-currency facilities.Clay has been recognized by the Best Lawyers: Ones to Watch in America editions for 2021, 2023, 2024 and 2025. He is a regular contributor to Fund Finance Friday, Cadwalader’s weekly, market-leading newsletter.Clay received his J.D, cum laude, from University of Louisville Brandeis School of Law, where he served as the Articles Editor for the Law Review; and his B.S. from Lehigh University. He is admitted to practice in North Carolina, Kentucky and Texas. Prior to law school, Clay was a certified public accountant for a Louisville-based firm.
