As a Senior Advisor to KPMG\'s Board Leadership Center, I work with Boards to drive corporate governance that focuses upon long-term value and enhancing investor confidence. I bring extensive experience advising boards, management and investors in public and private companies on corporate governance matters and related issues, such as shareholder activism and engagement, board/committee process and structure, fiduciary duties, and ESG.I served as a Partner and co-chair of the Corporate Governance practice at the national law firm Katten Muchin Rosenman LLP, where I also represented public and private companies in mergers and acquisitions and securities matters.I am a frequent writer on corporate governance issues and speak to organizations including the American Bar Association, the Association of Corporate Counsel, the Ethics and Compliance Institute, ISS\' Governance Exchange, Latino Corporate Directors, the Minority Corporate Counsel Association, the National Association of Corporate Directors, the National Investor Relations Institute, Practical Law Institute, the Society for Corporate Governance, and Women Corporate Directors, among others. I have also appeared on CNBC’s Power Lunch and Squawk on the Street. My landmark studies of forum selection provisions in charters and bylaws and majority voting in director elections have been widely cited, including by the SEC, the NYSE Commission on Corporate Governance and the Delaware Court of Chancery. I was named to the NACD\'s Directorship 100 in 2023, and was selected for inclusion in The Best Lawyers in America (2012–2017), the International Who’s Who of Corporate Governance Lawyers (20••••16) and Expert Guides’ Women in Business Law – Corporate Governance (20••••16).
