I co-chair the firm’s venture capital and commercial lending practice. I have successfully represented many groups of venture capitalists in obtaining licenses from the U. S. Small Business Administration as Small Business Investment Companies. I represent venture capital firms in documenting their various business transactions with portfolio companies, including equity investments, acquisitions, buy-outs, recapitalizations and the like. I also work closely with lending officers at commercial banks in the mid-Atlantic area to document and close all types of commercial loans. I represent corporations (including Subchapter S corporations), general and limited partnerships and limited liability companies, including the preparation of organizational documents, the drafting and negotiation of contracts, buyouts, private placements and public offerings, and the handling of compliance with federal and state corporate and securities laws and regulations
