Co-teaching a weekly seminar entitled, Social Entrepreneurship & The Law, that is designed to provide an introduction to the emerging field of law and social entrepreneurship with a particular focus on analyzing the legal forms available to social entrepreneurs in the U.S. These include traditional legal forms (e.g, nonprofits and “hybrid” structures combining a nonprofit entity with a for-profit entity) and new legal forms created since 2008 (e.g, benefit corporations, flexible-purpose corporations, low-profit limited liability companies (L3Cs)), and “B-Corp” certification for existing businesses.Globally, an increasing number of mission-driven enterprises seek to utilize entrepreneurial principles to advance positive social and environmental change. These nonprofit and for-profit ventures are led by social entrepreneurs—individuals who develop innovative solutions to some of the world’s most pressing social problems. Given their double- or triple-bottom line objectives (profit plus social and/or environmental), these social entrepreneurs operate somewhere between the traditional for-profit and nonprofit boundaries. As a result, the blurring of the lines between these two boundaries often leads to unique legal challenges.The goal of this unique course is to prepare the next generation of lawyers with the necessary skills to effectively counsel social entrepreneurs. This includes understanding how the law can be used creatively and as a powerful tool to help social entrepreneurs achieve their objectives.
