Representative responsibilities include:*Finance/Transactional Matters: Negotiation and preparation of complex financial and transactional matters for (i) both public and private venture capital fund raising,(ii) joint venture variable share forward transactions; traditional, non-traditional and alternative credit and debt facilities (domestic & international), and (iv) mergers, acquisitions and divestments, including $500M+ sale of portfolio assets to public company and creation of an UPREIT.*Legal/Litigation Management: Manage both In-House and external counsel across national platform in litigated matters (construction, real estate development/title, finance, property management, labor & employment, regulatory) in both federal and state courts as well as administrative agencies; actively participate in arbitration and mediation forums; manage company IP and 30(b)(6) corporate witness. Significantly leveraging technology to manage legal spend and assess risk early on in dispute context.*Chief Risk Officer/Corporate Risk Manager: Manage all aspects of corporate insurance and risk program across diverse company platform, leveraging insurance products and programs to maximize cost savings across the corporate portfolio. Develop SOPs across diverse corporate platform to mitigate against risk in ever-changing regulatory environment.
