Conduct due diligence research for clients regarding initial public offerings and mergers and acquisitions, and generate due diligence reports accordingly. Conduct complex legal research and draft legal memos on various corporate and transactional law matters, including mergers and acquisitions, cross-border acquisitions, corporate governance, and compliance. Draft SEC reports, transaction documents, offering statements, private placement memoranda, registration statements, and other documents related to the initial public offerings of our corporate clients. Respond to SEC comments. Coordinate transactional matters with firm clients and opposing counsel. Assist issuers of securities, investors, underwriters, and placement agents on legal matters related to both public and private offerings of equity and debt securities in the United States. Advise clients on laws and regulations concerning securities, mergers and acquisitions, and other complex corporate transactions.
