Responsible for the preparation of Request for Proposal (RFP) responses for multi-million-dollar contracts, the negotiation, interpretation and/or administration of contracts, subcontracts, and licensing agreements. Prepare contracts for review and ensures compliance with company policy as well as applicable laws/regulations. Drive and implement robust Risk Management. Develop negotiation strategies with internal business partners, evaluate risk exposure, and make recommendations to business partners or legal counsel. Draft, review, edit, finalize and negotiate medium-to-high complexity routine transactional agreements to meet business and legal requirements. Agreements include sales/supply; end-user license agreements, professional services agreements, statements of work (SOW), OEM agreements, strategic alliance agreements, maintenance agreements, consulting and advisory agreements, outsourcing and hosted services agreements, software as a service (SaaS) customer agreements, and other technology-related agreements. Assist with contract disputes, including understanding the issues, providing guidance on solutions, drafting settlement agreements. Provide pragmatic guidance for the accomplishment of overall business objectives of the Company, while fully complying with applicable laws and regulations and avoiding unacceptable risks; perform informed cost-benefit analysis when identifying risks under tight deadlines.
