Role Execution of Initial Public Offer including offer for Sale :a) Financial Due Diligence and Restatement audit: financial & legal due diligence based on the financial information/ documents provided by the Company and publicly available information, carry out a preliminary background check through E-Courts, Cubic Tree Reports, Watch Out Invertor, discussions with the management, auditors and legal advisors to the Issue, Re-stating the financial statements of last three years to make necessary corrections in the Audited Financial statements for the purpose of IPO & Finalize the Due Diligence report.b) Preparation of Offer Documents: Preparation of DRHP/RHP/Prospectus after finalization of various chapters which includes Business, Objects of the Issue, Basis of Issue Price, Financial Information & Indebtness, Business & Industry Overview, Management & Promoters, Litigation, Government Approvals, Risk Factors etc.c) Issue Management: Filing of Red Herring & Final Prospectus with Stock Exchange(s) and other regulatory offices like SEBI and RoC, Follow-up with Stock Exchange, SEBI and RoC for their approvals including replies to various queries from Stock Exchange, Pre-Issue Advertisement, Monitoring the flow of applications and keeping a real-time discussion with the management of the Company.Correspondences / Interaction with regulatory authorities, e.g. SEBI, Stock Exchanges, RBI, etc• Preparation and maintenance of various data base required for analytical purpose• Preparation of financial model and information memorandumhaving excellent oral and written communication skills with clarity of thought, speech and expression.Excellent interpersonal skills.Good Analytical Skills
