Primarily responsible for: o Advising and engaging management to identify legal risks and issues; o Conducting legal research and drafting related memoranda; o Reviewing and interpreting statutes, regulations and other law;o Actively participating in staff, management and one-on-one meetings; o Managing multiple time-sensitive items simultaneously;o Managing the general operation of SLB’s legal department to ensure legal matters are handled with competence, accuracy, thoroughness and timeliness;o Drafting, reviewing and/or negotiating NDA\'s, engagement letters, amendments, joinders, out-of-state licensing, operating, consulting/service, purchase and lease agreements;o Coordinating contracting diligence and legal compliance;o Assisting with real estate licensing, including annual reports, renewal of real estate licenses, continuing education and submittal of new individual broker and related firm license applications;o Assisting in real estate closings and post-closing matters;o Contributing to developing the Company’s intellectual property, including agreement templates, legal review guidance forms, internal training decks and process/procedure documents;o Organizing the shared drive space;o Developing bank of state-specifc agency disclosure forms;o Assisting in drafting the employee handbook and related paperwork for employee hiring, termination, and claims; o Providing legal advice, guidance and counsel on employment law issues, including hiring, discipline, terminations, pay and benefits;o Coordinating guidance to ensure compliance with applicable employment law;o Incorporating in-depth knowledge of business/finance in legal documentation, process and procedure;o Managing outside counsel and reviewing related billing;o Managing the pre-litigation process; o Overseeing responses to subpoenas/court orders; o Assisting with client development; ando Overseeing deals/projects to assess efficiency, compliance, procedure and avoidance of risk.
