Create solutions for companies to mitigate risk/cost and maximize upside and peace of mind. Serve as outside general counsel to small and mid-sized businesses, advising on legal strategy, corporate governance, and operational risk. Negotiate deals, transactions, settlements, and contract terms. Draft, revise, and negotiate complex legal documents including: contracts; Buy/Sell Agreements, MSAs, SOWs, leases; settlement agreements; non-disclosure agreements; and licensing agreements. Assist professionals and professional boards investigate/adjudicate allegations of misconduct. Conduct investigations of alleged workplace harassment for small businesses. Perform a variety of services for business entity clients, including, but not limited to: corporate governance; resolve shareholder disputes; dissolve and wind up businesses; demand corporate books and records on behalf of disenfranchised shareholders; and, confer with experts in complex fields, such as software/app development and business valuation, to gather evidence in support of client positions. Manage significant, client-facing caseload as primary attorney.
