Provide legal and strategic advice to the North American leadership team and other stakeholders in the company.• Provide day-to-day advice regarding promotional materials, commercial communications, medical and scientific materials, disease awareness, and related activities for the company and its products.• Member of the US promotional review committee. Identify issues that may raise legal concerns, propose compliant alternatives, and ensure promotional materials comply with the company’s policies and legal and regulatory requirements while achieving the company’s objectives.• Coordinate annual filings and oversee and manage entities’ corporate status in good standing and licenses to operate. Prepare notices, board materials, agendas, resolutions, consents and minutes for corporate governance. Support merger activities including merger control filings and alliance management to supported business units. • Develop contract templates and create and oversee company contract management process. Draft and negotiate revenue generating commercial contracts covering the entire product lifecycle and supply chain, involvement in rest of world (ex-US) business expansion. Provide merger & acquisition support and due diligence• Manage legal inquiries, litigation and dispute resolution. Coordinate with external counsel, conducting investigations, and represent the company in legal proceedings as necessary.• Part of North American Compliance Committee. Manage Senior Compliance Manager and continue the development, implementation, and management of a risk-based North American compliance program.• Provide legal advice to corporate, commercial medical affairs and compliance departments of the Life Molecular Imaging business.
