Provide legal advice and opinion on 501(c)(3) issues, intellectual property matters, global privacy and data protection, employment law, disabilities law, M&A, and test security.Supervise Attorneys, Legal Operations, Intellectual Property and Corporate Contacts groups, and Administrative Professionals in the development, drafting, negotiation, execution of ETS agreements, including routine contracts and major business transactions. Work collaboratively with other officers to develop ETS’ strategies and initiatives. Oversee selection and engagement of external counsel where appropriate and necessary.As Corporate Secretary, advise the Chair of the Board of Trustees, Committee Chairs, Trustees, CEO, CFO and Senior Leadership of ETS on all corporate governance requirements. Oversee the distribution of agendas, materials, and background information for ETS Board of Trustees’ Committees and Board meetings. Record the official minutes of meetings, motions, discussions, votes, and resolutions. Prepare and provide written minutes to the Board, schedule and notify Trustees of upcoming meetings. Function as a custodian of corporate records, responsible for updating corporate by-laws, maintenance of tax and financial reports, filing of State and Federal registrations. Administer and manage all ETS domestic and international subsidiaries’ corporate governance needs.
