Assist non-profit and other tax-exempt, mission-driven organizations with transactional legal matters, including employment, governance, and corporate compliance.Provide guidance, advice, and counsel regarding workplace labor and employment issues prior to litigation, including employment agreements (including executive employment agreements), employee benefits, leaves, disability and reasonable accommodations, California wage and hour law, employee discipline, separation/severance agreements, layoffs and terminations, employee and contractor classification, etc.Prepare, draft, and revise employee handbooks and internal policies and procedures.Review, draft, and revise employment agreements (including executive-level), contractor agreements, fiscal sponsorship agreements, shared services agreements, and other contracts.Conduct internal workplace investigations.Advise boards of directors and executive leadership on nonprofit governance matters, including fiduciary duties, bylaws and board policies, conflict-of-interest procedures, risk management and mitigation, leadership transition, and operational questions. Address and resolve corporate compliance and regulatory issues with California agencies (Attorney General, Franchise Tax Board, Secretary of State) and the Internal Revenue Service.

My practice is dedicated to helping mission-driven leaders build legally sound, equitable workplaces that reflect their organization\'s values and culture.With a background that bridges private practice and public interest law, I bring nuanced, strategic counsel to nonprofit leaders managing workforce-related risks, compliance, and operations. My experience includes advising on wage and hour compliance, employee classification, workplace investigations, hiring and termination policies, the development of staff and volunteer handbooks, and more.Earlier in my career, I practiced California and federal labor and employment law in private practice and served as an Equal Justice Works AmeriCorps Attorney with Public Counsel. There, I provided legal services to low-income individuals as well as people experiencing homelessness — work that cemented my dedication to public service.Beyond employment matters, I offer seasoned guidance on nonprofit governance, including board responsibilities, conflict of interest policies, and charitable compliance. My tenure at The Rose Hills Foundation provided me with a funder\'s perspective on nonprofit operations, enhancing my ability to help clients align legal best practices with funder expectations and public trust. I also recently worked as a consultant for Southern California Grantmakers\' Veteran Funders Group, facilitating programming and strategic opportunities for philanthropic funders to support community-based organizations and public-private partnerships addressing challenges impacting veterans and military families. Outside of work, I enjoy staying connected to my community through volunteering, travel, and storytelling.
