Provide strategic legal counsel on corporate transactions and other business initiatives to the U.S, Canadian, and Latin American subsidiaries of SSP Group plc, a U.K-based public company and leading food and beverage provider in travel locations globally. • Lead all legal aspects of M&A transactions and post-acquisition integration efforts for the Americas business, including advising on and managing high-value deal risks and post-closing integration issues, coordinating deal processes, managing other legal experts and partnering with cross-functional teams and executives, drafting and negotiating transaction documents, and coordinating due diligence reviews.• Manage and oversee corporate governance matters and related documentation for all U.S, Bermudian, Mexican, Canadian, and Brazilian entities and navigate international legal and regulatory landscapes in connection with business expansion efforts.• Advise on compliance with U.S. Department of Transportation regulations and guidance associated with the Airport Concession Disadvantaged Business Enterprise (ACDBE) program, leading joint venture audit response efforts, advising on response strategy and related negotiations, and drafting response memoranda for submission to various governmental authorities.• Structure, draft, and negotiate joint venture agreements, commercial agreements, various intercompany agreements, and consulting agreements. • Develop and implement comprehensive Corporate Transparency Act (CTA) compliance and reporting regime for approximately 150 entities and joint ventures. • Manage and supervise outside counsel and other legal team members.
