Rehired as General Counsel after initially being the first in house counsel for this 45-year-old company with over 15 million sf portfolio consisting of 35 shopping centers, 52 self-storage facilities, 6 office buildings and hotels • Negotiate contracts upon favorable terms while minimizing the number of sets of revisions • Created template agreements for Leasing including leases, amendments, assignments, purchase and sale of unimproved and improved real estate (including developed shopping centers), estoppel, subordination, non-disclosure, indemnity agreements • Created template agreements for construction, including, design build, architectural design, general contractor, subcontractor, purchase order, and shortened service agreement for low-risk jobs. Designed for completion and execution by non-attorneys, with significant company protection and brevity (36 individual buildings constructed in past 8 years utilized these templates)• Provided training to our legal assistant to complete basic lease and lease related agreements within a few weeks, provide training to property managers and keep an open-door policy to assist others • Manage outside counsel on litigation involving construction issues, personal injury defense and ADA• Review and revise development agreements, title objections, deeds and similar closing documents • Recognized the need for, and drafted, intracompany agreements between third party property management entity and ownership entities to further insulate assets, prepare LLC formation and incorporation documents, shareholder agreements and resolutions• Litigate commercial evictions in house as well as some litigation on less involved matters• Resolve escalated property management and vendor issues without such issues reaching litigation • Studied for and passed the Florida Bar Exam while working full time in 2015 (also licensed in Ohio)
