Corporate governance. Prepare resolutions and consents for all complex corporate structure regarding leadership, and financial ownership; Maintain corporate records for all company subsidiaries; Review and respond to know-your-customer inquiries from financial institutions; Provide advice regarding banking relationships and key financial tools including covenant compliance.• Insurance, risk analysis, and litigation management. Provide strategic counsel to Executive team regarding insurance and risk matters; Retain and manage outside counsel in litigation matters related to contractual disputes and tort liability claims from inception through trial or other resolution; Provide legal advice on insurance policies and claims handling related to operation of retail locations; Manage outside counsel in all jurisdictions and lead pre-litigation, discovery production, settlement, and mediation negotiations; Partner closely with insurance and risk management teams to evaluate insurance levels and policies, and evaluate and obtain new insurance products; Prepare large insurance claims including business interruption, property damage, and D&O liability claims and negotiate with insurers to maximize settlements• Real estate leasing and transactions. Provide strategic counsel to Executive team regarding real estate portfolio; Primary legal responsibility for the full life cycle of real estate transactions on two continents. Negotiate, draft, and close on new leases, subleases, amendments, purchase and sale transactions, lease terminations, construction contracts, and all other real estate contracts in all jurisdictions; Manage landlord and subtenant relationships and lease compliance including landlord and tenant defaults; Draft, negotiate, and interpret facilities agreements for in-store services and products.• Mergers and acquisitions. Direct and manage a major corporate out-of-court restructuring and refinance project; Provide key legal and corporate governance support in large and small corporate ownership restructurings.• Contract review and management. Implement contract life cycle management software to draft, negotiate, and interpret a wide variety of company contracts, including: logistics agreements for transportation and trailer rentals; waste agreements for solid waste and hazardous materials; marketing and film locations agreements; facilities services agreements; temporary licenses; security agreements; etc.• International trade compliance. Develop and implement comprehensive trade sanctions compliance program covering overseas sales.
