   Merger & Acquisition - TaxMy journey with BDO India in•M&A Tax(Transaction Advisory services)has given me the opportunity to work on various entities in different sectors.•Furthermore, to examine their direct tax health for those entity who particularly going for raising funds or about to get acquired in near future.•Reconciling computation of Income prepared by entity, particularly to check expenses which should have been disallowed u/s 37 of IT Act.•Holistic reading of several demands raised by revenue department against target and advising client ( acquirer) about possible future liabilities.•Going through tax audit report to identify misstatements which could effect the further deal advancement. For e.g. assuring that related party transactions are abide by IT Act as well as Companies Act.•Primarily, engagement in which I have assigned is related to advising entities on possible structure which is tax beneficial for them as well support them in further smooth functioning of their newly merged or acquired entity.Review of the following documents: • Income tax return (\"ITR\") and Tax audit report (\"TAR\") for review period. • Computation of income or draft computation of income for review period both under normal provisions and MAT. • Financial statements (provisional financials in case of pending audit) and deferred tax workings vis-a-vis the ITR and TAR • Quarterly tax withholding returns filed with the tax authorities for the reporting period (with special emphasis in respect to the overseas transactions, if any•Analyze the tax balances in the accounts, including a summary of the deferred tax provision and the basis on which the provision has been made and its adequacy
