I focus my practice on bankruptcy and creditors\' rights as well as corporate and commercial transactions.I have substantial experience in creditors\' rights, bankruptcy and restructuring situations. My experience includes representing major creditors and lessors in a large number of airline bankruptcies (both U.S. domestic and international) throughout the U.S. and Chapter 15 ancillary proceedings of non-U.S. bankruptcies, several international and domestic maritime bankruptcies and insolvencies, several construction, developer, solar power and telecommunications bankruptcies and representing investors and customers in the bankruptcies and out-of-court liquidations of several investment funds, brokerage companies and financial service companies. My experience in the area of creditors\' rights includes the representation of secured and unsecured creditors, customers, investors and contract counterparties in many large, small and medium-sized bankruptcy cases, including the representation of vessel owners and suppliers in maritime bankruptcies; the representation of equipment finance companies as a secured and unsecured creditors; the representation of several foreign debtors, receivers and creditors in Chapter 15 proceedings; the representation of several debtors in bankruptcy cases; the representation of landlords and tenants as creditors in bankruptcy cases; the representation of shareholders, limited partners and LLC members as secured and unsecured creditors in several out-of-court liquidations; the representation of prepetition lenders in maritime-related and other bankruptcy cases; and the representation of creditors in the bankruptcies and out-of-court restructuring of several not-for-profit entities, a large number of defendants in preference and fraudulent conveyance proceedings brought in bankruptcy cases of all sizes. I am also experienced in mergers and acquisitions (M&A) involving public and private companies, inside and outside of bankruptcy (i.e, Section 363 sales and similar auctions), and in the negotiation and preparation of general corporate and commercial agreements, including shareholders and LLC agreements, distribution agreements, licenses and employment agreements. I have extensive experience in the structuring and establishing U.S. subsidiaries and branches and other operations of foreign entities, including the establishment of corporations and alternative business entities, such as partnerships, limited liability companies and other alternative structures.
