Unregulated/regulated investment fund formation and structuring, for French (FPCIs, FPS, SLPs), foreign (Luxembourg-based SIFs, SCAs, SCSps) and pan-European investment funds (hybrid structures tailored to foreign investors’requirements and combined UK, French and Luxembourg structures). I also works on the legal aspects of fund of funds, venture capital, growth capital, buy-out, co-investment, private debt, real estate vehicles- Obtaining approval for and creating regulated portfolio management companies and setting up carried-interest and incentives schemes for management teams- Advising French or pan-European investment funds and institutional investors on their portfolio investments and divestments (secondaries)- Financial law services matters - advising fund managers, placement agents, family offices, banks and other investment firms on a wide range of regulatory and related matters including AIFMD/MiFID/UCITS/SFDR regulations, funds pre-marketing and marketing, AMF/ACPR authorization and ongoing compliance requirements, fund financing, anti-money laundering regulations.
