Provides legal counsel to Nationwide’s private placement, private credit, infrastructure, private equity and venture capital investment teams to evaluate all aspects of investment transactions, including deal structures, covenants and other investment terms.• Partners with investment professionals to develop and implement practical solutions to mitigate business and legal risks.• Collaborates with the Corporate Secretary’s Office to review and prepare board materials and ensure proper corporate governance related to proposed transactions, including advising Special Committees of the Board of Directors.• Negotiates and advises on a broad array of investment documents, including note purchase agreements, loan agreements, indentures, intercreditor agreements, collateral documents, fund agreements, side letters, securities purchase agreements and co-investment documents.• Leads special projects, including M&A transactions, and partners with colleagues in Corporate Development, Treasury, Controllership, Risk Management and Tax teams in support of those special projects.• Directs and manages outside counsel in connection with complex investment and M&A transactions.• Partners with investment leaders and teams when investments become distressed, including advising on amendments, covenant waivers, restructurings and workouts.• Provides general corporate and regulatory advice to support Nationwide’s business and operations.
