I have practiced public accounting since 2003. My experience includes 18+ years as an auditor in a variety of industries, including healthcare, fin tech (merchant processors), technology (internet of things), construction and real estate, higher education, not-for-profit, and public employee benefit plans. In addition, I also provide technical accounting and reporting advisory services to clients with complex accounting and financial reporting matters associated with transactions (such as M&A, divestitures, transition services agreements, spin-offs, carve-outs, IPO, or recapitalization), working primarily with public companies registered with the U.S. Securities and Exchange Commission as well as large private equity-backed companies. My experience includes assisting clients with public filing requirements, including filing requirements related to registration forms 424B, S-1, S-3, S-4 under Regulation S-X, SPAC transactions, application of rule 3-05, as well as quarterly and annual filings. Further, I partner with clients to coordinate the preparation of financial statements and compliance reports in accordance with U.S. GAAP, SEC, and PCAOB, as well as statutory reporting requirements, and navigate through complex financial reporting requirements (such as discontinued operations, buy-side and sell-side projects, purchase accounting and business combinations, consolidations and variable interest entities, financial reporting issues and restatements, fresh-start accounting, share-based compensation, risk management reserves, leases and sale-back leases, foreign currency transactions, as well as tax‐exempt financings and other capital start-up and /or expansions).
