My practice involves counseling financial institutions, hedge funds and corporations in connection with structuring and documenting a wide array of financings, including term loans of all types, asset based loans, debtor in possession financings, high yield bonds and convertible notes. I also routinely counsel clients in connection with reorganizations in and outside of bankruptcy and in connection with the financing of mergers and acquisitions and other complex commercial/corporate law related issues. Recent Finance Engagements:• Represented Amneal Pharmaceuticals in connection with its $600 million ABL facility, its $2.7 billion senior secured term loan facility and various other financings.• Represented ProFrac and various of its affiliates in connection with the refinancing of (i) its existing ABL Facility with a $300 million ABL facility and (ii) its term loan facility with a $550 million term loan facility.• Represented Hologic in connection with its $3.5 billion senior secured credit facility and $320 million receivables securitization.• Represented hedge fund client in connection with its $90 million priority term loan to Remington Outdoors.• Represented hedge fund client in connection with its $50 million FILO ABL loan to Hornbeck Offshore.• Represented consortium of hedge funds in connection with $60 million of convertible notes issued by SAExploration.Recent Bankruptcy/Restructuring Engagements:• Represented ad hoc committee of ten states and six municipalities in connection with settlement negotiations and documentation with the Sackler family related to the Purdue bankruptcy.• Represented ad hoc committee of seven states in connection with settlement negotiations and documentation related to the Mallinckrodt Pharmaceuticals bankruptcy.• Represented priority term loan lenders in connection with bankruptcy of Remington Outdoors.• Lead finance counsel to the Ad Hoc Group of Term Lenders in connection with the restructuring and bankruptcy filing of Pier 1 Imports.• Lead finance counsel to the Ad Hoc Group of Term Lenders in connection with the restructuring and bankruptcy filing of The Sports Authority, Inc.Chief corporate counsel to Sovereign Co.
