Advising on a wide variety of derivatives and structured finance transactions, with a particular focus on OTC derivatives, collateral arrangements, repo and stock lending, and ESG-related transactions.• Advising a broad range of market participants, including brokers, sovereign entities, central banks, major investment banks, development banks, asset managers, pension trustees, hedge funds, and other buy-side institutions, in roles such as arranger, issuer, guarantor, servicer, and derivative counterparty.• Drafting and negotiating ISDA Master Agreements, credit support documents, and Master Confirmation Agreements across asset classes including credit, FX, equities, interest rates, and commodities.• Advising on financial products linked to carbon credit trading and the energy transition, including EFET agreements and energy trading documentation.• Analysing counterparty legal structures and preparing netting and collateral enforceability opinions for a variety of counterparties.• Providing regulatory advice on Benchmarks Regulation, CSDR, Dodd-Frank, UK EMIR/EMIR, and the implementation of uncleared margin rules.• Drafting and negotiating documentation to ensure compliance with US, UK, and EU margin rules, including repapering for in-scope entities.• Reviewing and restructuring loan and intercreditor agreements, and drafting hedging documentation for finance-linked derivatives in project and leveraged markets.• Structuring risk participation documentation using derivatives to offset performance risk.• Advising on SFTR and negotiating securities lending and repo agreements (agency and principal basis), including GMSLAs, GMRAs, MRAs, and pooled principal structures.• Supporting on a wide range of structured finance and derivatives transactions, including asset-backed financing, receivables finance, warehouse facilities, and credit support arrangements using swaps (including total return swaps), repos, and guarantees.

ABOUT AMY WHITNEY
I am a Senior Associate in the DCM, Structured Finance and Derivatives practice at Dentons in London. I have experience advising on a range of derivatives and structured finance transactions, with a particular focus on OTC derivatives (including fixed income, commodity, credit and equity-based derivatives), collateral arrangements, repo and stock lending transactions and ESG/sustainable finance transactions. I also advise clients on regulatory requirements in the OTC derivatives market, including in connection with MiFID II, EMIR, UK EMIR, Dodd-Frank, SFTR and the Benchmarks Regulation. My recent experience includes helping buy-side and sell-side entities comply with implementing the uncleared margin rules. I have a specific interest in sustainable finance and have recently advised clients on structured finance transactions involving carbon as an underlying asset class (including EU Allowances (EUAs), UK Allowances (UKAs) and Verified Carbon Credits (VCCs)). In particular, I have knowledge of ESG considerations in transactional matters and the wide-ranging implications of the EU Sustainable Finance Package on market participants.I am currently a trustee of Sustainability First, a charity and think tank that produces research on environmental, social and economic aspects of sustainability and is particularly focused on public utilities, such as energy, water and communications.
