   Throughout the lifecycle of a transaction, assist clients to negotiate favorable terms within sales and purchase agreements, including purchase price mechanism, closing accounts process, representations and warranties, disclosures, etc. Collaborate and work closely alongside financial due diligence team to deliver sound advice based on quality of earnings, debt and debt-like items and working capital analyses. Assist clients with technical accounting implications within and presentation of the estimated and final closing account balance sheets and/or P&L earnout statements. Analyze / interrogate the closing balance sheet to ensure compliance with the transaction agreement and GAAP / IFRS, to identify and/or dispute adjustments to purchase price. If applicable, draft dispute notice for sellers, outlining balance sheet / P&L line items not in compliance with transaction agreement / IFRS / GAAP with rationale / calculations. Coach clients through strategy for negotiation discussions with buyer / seller on purchase price accounting discussions/disputes. If applicable, draft submissions to a neutral arbitrator in support of client’s position with regard to purchase price accounting disputes. Perform technical accounting research, draw conclusions and draft accounting position papers for neutral arbitrator in relation to purchase price disputes.
