In charge of Legal Department of IL SOLE 24 ORE S.p.A, the Headquarter of 24ORE Group, a corporation that operates in the media sector. 24 ORE Group is the leading Italian multimedia publishing organization, operating in the economic, financial, professional, and cultural information sector. Reporting to the Group CEO and providing legal support to the whole group, the Legal Director has four directs reports.My main job tasks: • Corporate Governance Regulation - Legal activities related to Board of Directors activities and laws regulations enacted by Italian Law for companies listed on Italian Stock Exchange (e.g. drafting of minutes, management of the Board of Directors and committees, advices on compensation plans, transactions with related parties, procedures on inside information etc).• Drafting and negotiating of national and international agreements (e.g. Agreements with customers, suppliers, distributors and intermediaries, NDA, collaboration agreements and development agreement, public tenders/bids according to the Italian Law 163/06 and private tenders etc.); • Legal Advice on M&A and extraordinary corporate transactions - Advices and drafting of relevant documents and agreements, e.g. Assets Purchase Agreement, Legal Due Diligence, Joint Ventures, LOI, MOU etc;• Legal opinion and support on compliance topics related to Privacy Law, AI Act, Antitrust Law, Anti-Corruption Law and “Compliance Program” in according to the Italian Law Decree 231/01 (Organizational Model / Management & Control Model - Ethical Code - Supervisory Board / ODV Organismo di Vigilanza e Controllo); • ERM - Management of enterprise risk management;• Managing of relationships with external consultants for disputes and litigations.
