My practice is primarily focused on:Corporate and Commercial LawInternational Commercial Law Commercial Lending Transactions, representing Lenders and Borrowers;Advising financial institutions on regulatory compliance matters; Commercial Real Estate and Leasing; and, Sales and Use Tax compliance, audits and negotiaition of assessments.Typical Corporate and Commercial services include- Drafting and negotiating shareholder and limited liability company agreements at the formation stages and providing guidance on governance issues afterwards- Advising management on day-to-day operations, including compliance, risk identification, assessment and management- Developing strategies for maximizing value in and protection of branding and intellectual property-Drafting and negotiation of manufacturing, supply, licensing and services agreements-Drafting, review and negotiation of IT services agreements- Assisting stakeholders and boards on strategic and mid to long term planning- Drafting compliance policies- Internal compliance audits and investigations- Crisis response, management and control.Of Additional Note:Frequent speaker on international trade and export topics.
