About Ada Yilau
As a director in the PwC US Contracts and Closing Mechanisms (CCM) practice, I advise buyers and sellers on the accounting and financial elements of sale and purchase agreements (SPAs), ensuring diligence findings and commercial intent are strategically addressed within. Post-signing, I help my clients navigate and execute on the purchase price adjustment processes to protect and enhance deal value. Over the past 7+ years, I have reviewed over a thousand SPAs representing more than $220 billion in completed deal value for private equity and corporate clients worldwide.I serve clients in all sectors, with specific focus across five core arenas- Private Equity & Financial Services (asset management, insurance, real estate)- Energy & Infrastructure (oil & gas, renewables, power & utilities)- Health Industries (pharma, life sciences, provider services)- Industrial, Products & Services, and - Tech, Media & Telecom. I have also advised on niche segments such as professional services, education and non-profit.Earlier in my career, I delivered forensic and assurance services, including license and contract compliance reviews, risk assessments, disputes advisory and expert witness engagements, supply chain restructuring and strategic sourcing, and financial statement and governmental audits. This breadth gives me a holistic view of deal risks and value drivers.
